EDGAR Next Annual Confirmation: What SEC Filers Need to Know

Most SEC filers wrapped up EDGAR Next enrollment last year and moved on. But enrollment was only the first step. To keep EDGAR access, every filer now has to complete an EDGAR Next annual confirmation – a yearly check of its account details and the people allowed to file on its behalf.

It’s a short task. What trips teams up is the surrounding detail: when it’s due, who’s supposed to do it, and what happens if nobody does.

October is a good time to look. If your confirmation deadline was September 30, check now whether it was done and where the account stands. If it’s December 31, get the review on the calendar before year-end close starts and the Form 10-K cycle takes over everyone’s time.

What is the EDGAR Next Annual Confirmation?

Once a year, one of a filer’s account administrators must log into the EDGAR Filer Management dashboard and confirm two things:

  1. Everyone listed on the account is still authorized to act for the filer. That includes account administrators, users, technical administrators, and delegated entities such as filing agents or law firms.
  2. All information about the filer shown on the dashboard is accurate.

The requirement applies to every EDGAR filer. That covers the company itself, each Section 16 insider, domestic filers and foreign private issuers alike.

The purpose is security. Under the legacy system, shared passwords, and access codes often outlived the people who held them. The annual confirmation forces a yearly review of who can file in your company’s name.

Only one account administrator needs to complete it, and it takes a few minutes. The hard part isn’t the task. It’s making sure someone owns it.

Who Is Responsible for EDGAR Next Annual Confirmation?

The account administrator is central to the annual confirmation process.

Under EDGAR Next, account administrators manage important aspects of a filer’s account and its authorized users. The people involved in preparing an SEC filing may not all have the same responsibilities or permissions.

Role Responsibility
Account administrator Manages the filer account and completes the annual confirmation.
SEC reporting team Keeps filings on track and works with administrators when access problems come up.
Finance and accounting Prepares and reviews the financial information in SEC filings.
Legal and compliance Reviews disclosures and supports the company’s reporting controls.
External filing provider Supports filing preparation or submission within the authority granted to it.

When is the Annual Confirmation Due?

Every EDGAR filer has an annual confirmation deadline tied to one of four quarter-ends: March 31, June 30, September 30, or December 31. The applicable date depends on the filer’s account and confirmation schedule.

Start by listing every filer you’re responsible for and marking each one as done, overdue, or coming up. Then work through them using the table below.

EDGAR Next Annual Confirmation Deadlines and Actions

Quarter-end Deadline What Your Team Should Do
March 31 Check the dashboard to see if the confirmation went through. If it was missed, look up the account’s current status and grace period with the SEC.
June 30 Review the status for each filer. If the date passed with no confirmation, check the grace-period dates and the account status before doing anything else.
September 30 See whether confirmation happened on time. If not, find out when the grace period ends and whether the account has been restricted or deactivated.
December 31 Confirm the due date and book the review before year-end close. Clean up old administrator assignments, user access, delegated entities, and filer details first, then confirm.

How to find your deadline: Sign in to the EDGAR Filer Management dashboard and check the due date for each filer. The company’s date and an insider’s date won’t necessarily match, so look at each one.

Can you confirm early? Yes. Completing confirmation in an earlier eligible quarter can move your future deadline to that quarter-end. Check the SEC’s current instructions before doing so.

Important: Grace periods and deactivation timelines are set by SEC rules. Check dates and account status against official SEC guidance, not just the reminder emails, since those go to individuals who may have changed roles.

How to Prepare for EDGAR Next Annual Confirmation: A Step-by-Step Checklist

Here’s a practical way for SEC reporting teams to get ready, and to keep a tighter grip on filing access afterward.

Step 1: Identify the relevant EDGAR accounts

Start by identifying the reporting entities for which your organization manages EDGAR access.

Write down every reporting entity whose EDGAR access your organization handles. If you have subsidiaries, multiple registrants, or other reporting entities, include them. It’s easy to review the parent company and forget the rest.

Step 2: Review account administrators

Find out who administers each filer account today. Are they still with the company? Do they still have the authority, and do they know what the role involves? If an administrator has left or moved to another job, work out how to update the account.

Step 3: Review authorized users and delegated filing authority

EDGAR Next lets you control access person by person and delegate filing authority to outside parties. Look at who has access, what they’re allowed to do, and whether that still fits how your team files today. Changes involving employees, outside advisers, and filing service providers are where gaps usually show up.

Step 4: Complete the confirmation using SEC instructions

The responsible account administrator signs in to EDGAR Next and follows the SEC’s current instructions for the annual confirmation.

Check the confirmation window directly with the SEC. Last year’s dates, or an old calendar reminder, may no longer be right.

Step 5: Document the review

Note who completed the confirmation, when the review happened, and any account changes that still need follow-up.

That record shows the review was done and gives next year’s team somewhere to start.

Step 6: Include access checks in the reporting calendar

Annual confirmation should not be the only time your team reviews EDGAR access.

Schedule regular EDGAR access reviews in your SEC reporting calendar, especially ahead of big filing periods. Over time, access management becomes a routine part of your reporting controls, and nobody has to scramble the week a filing is due.

What Happens If EDGAR Next Account Administration Is Overlooked?

An incomplete account review can create avoidable complications.

Potential issues include:

  • Old administrator assignments. People who’ve left, or whose jobs have changed, may still be managing the account.
  • Confusion over who can file. The team isn’t sure who has access to the filer account or who can handle a given filing task.
  • Too much riding on one person. If a single administrator is out or leaves, nobody else can step in.
  • Fixing access in the middle of a filing. Instead of focusing on the disclosure, the team ends up sorting out login and permission issues against an internal deadline.
  • No paper trail. There’s no clear record of when access was reviewed or what changed.

EDGAR Next provides account-management controls, but those controls do not replace internal ownership and review procedures. Assigning a responsible administrator, reviewing access regularly, and documenting changes can help reduce avoidable access problems during filing periods.

How IRIS CARBON Supports the Broader SEC Reporting Workflow

IRIS CARBON® helps SEC reporting teams coordinate disclosure preparation, financial data, review workflows, XBRL/iXBRL tagging, validation, and direct EDGAR filing in one controlled environment.

So instead of passing files between people and tools, your team works in one connected process, with a record of every change and review along the way. Finance leaders get a clear view of how numbers move from the ledger into approved disclosures and filing-ready output.

EDGAR Next annual confirmation remains a responsibility of the relevant account administrator. IRIS CARBON supports the reporting activities surrounding that responsibility, helping teams manage the wider filing workflow more efficiently.

Keep EDGAR Access and SEC Reporting Under Control

The EDGAR Next annual confirmation is a good moment to ask a simple question: who can file in our name, and should they still be able to?

Answer it once a year and you’ve met the requirement. Build it into your reporting process, with a named owner, a documented review, and a controlled workflow for preparing and filing disclosures, and access problems stop competing with the work that matters: getting accurate SEC filings out on time.
