IRIS CARBON® US SEC Reporting Module – Expert Assisted Services

IRIS CARBON® enables users to collaboratively create annual, quarterly, and other reports on the Platform using the IRIS CARBON® HTML editor, select and add XBRL tags from the SEC taxonomies that are preloaded on the Platform, generate and validate iXBRL as well as EDGAR HTML output, and directly submit these to the US SEC. Form types supported for direct filing with US SEC include:

This document outlines the details of IRIS CARBON® US SEC Expert Assistance available from the IRIS Group to authorized users of the IRIS CARBON® Platform.

Details of Expert Assisted Services

Following are the details of Expert Assisted Services that the Subscribers of US SEC Reporting module can access:

1. XBRL quality review of last filed company 10-Q / 10-K filing
2. Document onboarding / set up of 2 versions of 10-Q and 10-K reports of current financial year/quarters on the platform
3. Customized online training / workshop for 4 hours (2 hours for 2 days), using customer’s onboarded document
4. Roll- forward support for Qs and K
5. Ad-hoc / additional support based on case by case basis

Detailed Description of each service within the Expert Assisted Services

a. XBRL quality review of last filed company 10-Q / 10-K filing,

IRIS’ expert assisted team prepares an XBRL Quality report based on the last filed 10-Q / 10-K filing (publicly available on SEC’s website). This report contains improvements (for example: tag changes on account of incorrect tagging in previous document, calculation inconsistencies and / or updates to the SEC XBRL taxonomy which impact any tags used in the previous filing)

The XBRL Quality report is presented to the users and upon approval, the recommendations of Quality Report are incorporated in the upcoming quarter/annual report as the case may be.

b. Document onboarding/ set up

IRIS experts onboard and set up the company documents on the Platform, so that Company users can get a ready-to-work set up to start collaborating and working on their documents. Document onboarding/ set-up includes

1. Creation of project based on the last filed Qs / K
2. Uploading prior year/quarter iXBRL documents relevant to the project
3. Dividing the main document into logical sections to facilitate the collaboration process
4. Adding users, defining workflow, setting up roles, and rights across sections

c. Customized online training / workshop

IRIS provides Customized Training / Workshops to Company Users based on the company’s own documents which are set up on the Platform by IRIS experts. This makes the training personalized and highly effective, as end users are very familiar with the nuances of their own documents. The customized training / workshops includes interactive exercises for End Users to get hands-on familiarity with the Platform during the training itself, with experts reviewing /assisting wherever needed.

Ongoing refresher training is also provided with each major release on the Platform.

All training is conducted online through Microsoft Teams. Training materials may include, but not limited to, self-help videos, user manuals, and recording of training session, and will be provided to the users post the training session.

Note: All documentation and other training materials whether via video, audio or other modes are IRIS proprietary materials, and to be used only by End Users for the purpose of using the IRIS CARBON® Platform effectively.

d. Document roll-forward

Rolling forward document(s) which are on the Platform provide a ready template that users can work on for the next reporting period.

Document roll-forward includes:

1. Creating a new project by cloning the data/content of an existing/finalized prior period project
2. Updating dates and other period-related data as relevant for the new project
3. Adding / deleting columns within tables (both in Excel and Word) as required to create the right tabular templates for the new reporting period

e. Ad-hoc / additional support

IRIS provides Ad-hoc / additional support to users that consist of any extra or on-demand assistance around documents within the Platform.

Some examples of Ad-hoc / additional support include:

1. Document formatting support
2. XBRL expert assistance (based on incremental changes in the document)
3. Filing assistance through the Platform where IRIS assists users in validating their filings against the latest Data Quality Checks of the SEC ahead of the final submission, and also assists in the test-file and live-file process directly with the SEC as required.
4. Ad-hoc support on a case by case basis, as and when requested by the filers

Note: IRIS also offers an Expert Assisted Services Flat Fee Package to companies. The flat fee package is recommended for all companies where IRIS’ expert teams completely handle the end-to-end Report generation, iXBRL validation, EDGAR HTML output creation on the Platform as well as filing with the Regulator.

A flat fee makes the budget planning and estimation process easier for companies and hence is preferred by companies that access the Platform for US SEC Reporting Modules.
